Hylands Assists International Union Finance Leasing Co., Ltd. (1563.HK) in M&A of Yantai Nanshan University
On August 18, 2022, International Alliance Leasing Co., Ltd (hereinafter referred to as "IAL") (1563.HK), a Hong Kong listed company, announced the completion of the acquisition of 70% of the equity interest in Yantai Nanshan University (hereinafter referred to as the "Target Institute") (hereinafter referred to as the "Transaction"). As the legal advisor to the financial advisor of the transaction, i.e., Zhongtai International Capital Limited (hereinafter referred to as "Zhongtai International"), the lawyer team led by Guoguang ZHANG from Hylands has provided legal services in China for Zhongtai International throughout the transaction.
As the transaction involves a cross-industry acquisition transaction of a company listed on the Main Board at HKEX, the commercial arrangements between the two parties are subject to compliance with the rules governing extreme transactions ("Extremely Very Substantial Acquisition") and connected transactions under the Rules Governing the Listing of Securities on the Main Board of HKEX. Hylands, as the legal advisor to Zhongtai International in China, has assisted Zhongtai International in the completion of due diligence on the target college, and proposed corresponding amendments to the compliance issues of the Target Institute, and provided comprehensive legal services in China to Zhongtai International in terms of drafting and amending the transaction documents of the Project, drafting and amending the IAL Circular, and responding to regulatory issues within the framework of Chinese law, as required by the aforementioned rules.
In all the tasks of the Project, the lawyer team led by Guoguang ZHANG from Hylands has demonstrated a solid professional background and efficient problem-solving ability, and provided high-quality legal services to Zhongtai International, which was well recognized by all parties.
